Affiliate Agreement

You are an independent affiliate of LUX Research Supply ("LUX"). You are not an employee, partner, agent or joint venturer, and you cannot enter into agreements, make promises or incur costs on behalf of LUX.

You get a personal discount code. When a customer uses it, they get a discount and you earn a commission at the rate shown in your affiliate portal. Rates and tiers can change; the rate that applies to a sale is the one in effect when that order is placed.

Commission is earned on orders that are actually paid for. An order that is refunded, charged back, or never paid earns nothing, and any commission already credited on it is reversed.

You are responsible for your own taxes on anything you earn here.

Through this programme you may learn things that are not public: customer names and contact details, order data, sales figures, margins, supplier and manufacturer identities, pricing structures, commission structures, marketing plans, upcoming products, and the contents of private affiliate or staff channels.

You agree to keep all of it confidential, to use it only to promote LUX, and not to disclose it to anyone — including other affiliates who do not already have it, competitors, customers, or the public.

This obligation does not end when you stop being an affiliate. It continues for as long as the information stays confidential.

It does not apply to information that is already public through no fault of yours, that you already had before joining, or that you are legally required to disclose — and if you are legally required to disclose it, you will tell LUX first where you are permitted to.

You agree not to make, publish or repeat statements about LUX, its owners, staff, products or affiliates that you know to be false, or that you make with reckless disregard for whether they are true.

You agree not to disclose confidential information in public, whether or not what you say about it is true.

This applies during your time as an affiliate and after it ends.

TO BE CLEAR, AND THIS IS DELIBERATE: nothing in this agreement stops you leaving an honest review of a product you bought, giving your genuine opinion or experience, reporting a concern to a regulator or law enforcement, responding to a lawful subpoena, discussing your own compensation, or saying anything you are legally entitled to say. LUX does not ask you to give up any of that, and any attempt to read this section as doing so is void.

Everything LUX sells is sold for laboratory and research use only. It is not a drug, supplement, food or cosmetic, it is not for human or animal consumption, and none of it is approved to diagnose, treat, cure or prevent any disease.

You must not say or imply otherwise. Specifically, you may not claim or suggest that any product treats, cures, prevents or mitigates a disease or medical condition, is safe or effective for human use, is a substitute for prescribed medication, or should be used instead of medical advice.

You must not tell anyone to stop, change or ignore treatment prescribed by their doctor, and you must not give dosing instructions for human use.

You must not make income claims about this programme, or promise anyone what they will earn.

This is the clause that protects both of us. Claims of this kind are what draw regulatory action, and they draw it against LUX as well as against whoever made them.

US Federal Trade Commission rules require you to clearly disclose that you have a financial relationship with LUX whenever you promote it — every post, video, story or message, not just once in a profile.

A disclosure must be plain and easy to see: "I earn a commission on this" or "#ad" placed where people will actually read it, not buried in hashtags or behind a "more" link.

You must not pretend to be an ordinary unaffiliated customer when promoting your code.

You may not use spam, unsolicited bulk email or text, purchased lists, or automated posting.

You may not bid on LUX brand terms in paid search, or run ads that imply you are LUX itself.

You may not create websites, social accounts, or profiles that could be mistaken for official LUX channels.

You may not offer your commission as a rebate to undercut LUX pricing, or resell products as your own.

You may not promote LUX anywhere it is unlawful to do so, or to anyone under 18.

For 6 months after you stop being an affiliate, you agree not to deliberately solicit LUX customers or affiliates you met, learned of, or were introduced to through this programme, in order to move them to a competing business.

This does not stop you doing business with someone who approaches you on their own, and it does not stop you advertising generally to the public.

For 3 months after you stop being an affiliate, you agree not to start, own, or work in a senior or advisory role for a business that sells research peptides in direct competition with LUX and markets them to LUX customers.

This is deliberately short and narrow. It is not intended to stop you earning a living, working in the wider health, fitness or supplement industry, or being an affiliate for a business that does not directly compete with LUX.

VOID WHERE PROHIBITED. Some places do not permit restrictions of this kind. If you live or work somewhere this section is unenforceable, this section simply does not apply to you, and the rest of this agreement still stands in full.

Either of us can end this arrangement at any time, for any reason, by saying so. LUX may also deactivate your code immediately if you breach this agreement.

When it ends, your code stops working and you stop earning on new orders. Commission already properly earned on paid orders will still be paid out on the normal schedule.

Sections 2, 3, 4, 7, 8 and 10 continue to apply after it ends, for the periods stated in them.

If any part of this agreement is found unenforceable, that part is limited or removed to the minimum extent needed, and everything else stays in force.

LUX may update these terms. Material changes will be notified through the affiliate portal or by email, and continuing to use your code after that means you accept them.

This agreement is governed by the laws of the State of South Carolina, without regard to its conflict of laws rules.

This is the entire agreement between us about the affiliate programme and replaces anything said before it.
